Reg D Score®

Independent Form D Disclosure Grading for Investors and Their Advisors

A structured, execution-oriented framework that systematically grades Form D disclosure quality while surfacing material non-disclosures, insider de-risking, quiet restructurings, and founder liquidity asymmetries.

Reg D Score evaluates, grades, and risk-rates companies that have filed under Regulation D, then delivers the result as a reproducible, defensible report your team can act on.

How We See What Others Miss

We aggregate and analyze raw data from, among other sources:

Two people reviewing an offering document at a table

Inside every report

The filing, the people behind it, and the questions to ask.

Each Reg D Score® report pairs a 0 to 100 grade and a confidence measure with the issuer profile, the principal's prior offerings, the questions to put to the issuer, and every source checked.

More than 34,000 companies a year tell the SEC they are raising private money.

Each of those companies files a notice called a Form D. Most of those filings will never matter to you. Reg D Score reads every one and sorts the field into four rings, so you can see at a glance which offerings deserve a closer look and which do not.

Bull's Eye

The offerings that deserve your attention first. The company has disclosed its information fully, it is actively raising money right now, the people behind it are clearly identified, and nothing negative came up when we screened their backgrounds.

Inner ring

Strong candidates. Most of what we look for checks out, but one or two pieces of the picture are still missing or unconfirmed.

Middle ring

Worth watching. These are legitimate companies, but there is not yet enough information to move them closer to the center.

Outer ring

Lowest priority. The filing is small, out of date, or missing key information, or the offering is simply not a good fit.

What Reg D Score Rewards and Penalizes

Rewards

Reg D Score rewards internal consistency, continuity from one filing to the next, and alignment between what a company says it will do with investors' money and what it actually does.

Penalizes

It penalizes missing or inconsistent disclosures, frequent changes to the company's name or structure, reorganizations that happen right after money is raised, and filings that are complete only where completeness is convenient.

Our Scoring Architecture

Every Reg D Score is built from reproducible, explainable components:

Proprietary 0-100 risk grading across disclosure quality, compliance history, background and litigation, reputation and market signals, risk factors and red flags. Example score 72/100, moderate risk.
